Section 01Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and VZN House LLC, a Nevada limited liability company doing business as VZN House Consulting ("VZN," "we," "us," or "our"), governing your access to and use of the website at vznhouseconsulting.com, our consulting services, and any related communications.

By accessing our website, submitting a contact form, engaging our services, or opting in to text messages, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our website or services.

Section 02Description of Services

VZN House Consulting provides sales and marketing strategy consulting, including but not limited to:

• Sales process design and optimization
• Demand generation and go-to-market strategy
• Pipeline management and revenue operations
• Team training and execution support
• Strategic advisory and consultations

Specific deliverables, timelines, and fees for each engagement are documented in a separate written proposal, statement of work, or services agreement signed by both parties.

Section 03Client Engagements & Payment

Proposals & Agreements

All consulting engagements are governed by a written proposal or services agreement that controls scope, fees, and deliverables. In the event of conflict between these Terms and a signed agreement, the signed agreement controls for that engagement.

Fees & Payment

Fees are stated in each engagement agreement. Unless otherwise specified, invoices are due upon receipt. Late payments may incur interest at 1.5% per month or the maximum allowed by law, whichever is lower.

Refunds

Refund terms are set out in each individual engagement agreement. Strategy calls and pre-engagement consultations are non-refundable unless otherwise stated.

Section 04Acceptable Use

You agree not to:

• Use the website or services for any unlawful purpose
• Attempt to gain unauthorized access to our systems, accounts, or data
• Interfere with the proper functioning of the website (including via bots, scrapers, or denial-of-service attempts)
• Misrepresent your identity or affiliation
• Reverse engineer, copy, or resell our proprietary methodologies or deliverables
• Send unsolicited commercial communications using contact information obtained through us

Section 05SMS / Text Messaging Terms

By providing your mobile number and consenting to receive SMS messages from VZN House Consulting, you agree to the following:

• You will receive transactional and consultation-related text messages including appointment reminders, schedule confirmations, and replies to questions
• Message frequency varies based on your engagement (typically fewer than 10 messages per month)
• Message and data rates may apply based on your carrier and plan
• You can opt out at any time by replying STOP; reply HELP for assistance
• VZN House Consulting will not share your mobile number or SMS opt-in data with third parties or affiliates for marketing or promotional purposes

Section 06Intellectual Property

All content on this website — including text, graphics, logos, methodologies, frameworks, and proprietary materials — is owned by VZN House LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Engagement deliverables created specifically for a client are governed by the terms of that engagement's signed agreement. Pre-existing methodologies, templates, and proprietary frameworks remain the property of VZN House LLC.

You may not copy, distribute, modify, or create derivative works of our content without prior written permission.

Section 07Confidentiality

VZN House Consulting respects the confidentiality of information shared by clients during engagements. Confidentiality terms are governed by the engagement agreement or any separately executed nondisclosure agreement (NDA).

You agree to keep confidential any non-public business information, strategies, or methodologies disclosed by VZN during our work together.

Section 08Disclaimers

Our website and services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Consulting services involve professional judgment and analysis. VZN House Consulting does not guarantee specific business results, revenue outcomes, or financial returns. Results depend on many factors outside our control, including client execution, market conditions, and team capability.

Section 09Limitation of Liability

To the maximum extent permitted by law, VZN House LLC and its officers, members, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of our website or services.

Our total liability for any claim related to a paid engagement shall not exceed the fees paid by you to VZN House Consulting for that specific engagement during the six (6) months preceding the claim.

Section 10Indemnification

You agree to indemnify, defend, and hold harmless VZN House LLC and its representatives from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, misuse of our services, or infringement of any third-party rights.

Section 11Termination

We may suspend or terminate your access to the website or services at any time, with or without notice, for any reason — including violation of these Terms.

Termination of an active client engagement is governed by the terms of that engagement's signed agreement. Provisions of these Terms that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, and dispute resolution — will remain in effect.

Section 12Governing Law & Disputes

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or our services shall be resolved in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.

Before initiating any formal dispute, the parties agree to attempt to resolve the matter in good faith through direct communication for at least thirty (30) days.

Section 13Changes to These Terms

We may modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
